Espri's Terms of Use

Welcome to Espri. These Terms of Use (“Terms”) govern your access to and use of our website, platform, software, services, and applications (collectively, the “Services”), provided by Espri Technologies Inc. (“Espri,” “we,” “our,” or “us”).

By accessing or using Espri’s Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

1. Use of the Services

You may use the Services only in accordance with these Terms and all applicable laws. You must be at least 16 years old to use Espri. If you are using Espri on behalf of a company, you represent that you have the authority to bind that company to these Terms.

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business or personal use.

2. User Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breach.

Multi-user collaboration, role-based permissions, and shared chat access should be used responsibly. You agree not to misrepresent your identity or impersonate another individual or entity.

3. Content and Data

a. Your Content

You retain ownership of all data, files, prompts, documents, and other content (“User Content”) you submit to the Services. By uploading or inputting content, you grant Espri a limited license to process, store, and display that content solely to provide the Services.

You are responsible for the legality, accuracy, and quality of your content and for obtaining all necessary rights, permissions, and consents to use it with the Services.

b. Generated Content

The AI-generated output you receive via the Services is provided to you as-is. While we strive for accuracy and relevance, Espri does not guarantee the correctness, completeness, or reliability of AI-generated results. You are solely responsible for evaluating and using this output.

4. Prohibited Use

You agree not to:

• Use the Services for unlawful, harmful, or fraudulent purposes

• Attempt to gain unauthorized access to the Services or other users' accounts

• Upload or input content that infringes intellectual property or privacy rights

• Use the Services to develop competing AI or machine learning products

• Interfere with the performance or integrity of the Services

We reserve the right to suspend or terminate access if you violate these Terms or abuse the platform.

5. Privacy and Security

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, store, and protect your data.

Espri is committed to maintaining strong security and data governance. However, no system is perfectly secure, and we cannot guarantee that unauthorized third parties will never be able to defeat our safeguards.

6. Availability and Updates

We may modify, suspend, or discontinue any part of the Services at any time without liability. We will strive to provide notice when possible.

We may also update these Terms from time to time. If we make material changes, we will notify you and seek your continued agreement. The latest version of the Terms will always be available on our website.

7. Intellectual Property

The Espri platform, including all software, user interface design, logos, trademarks, and content (excluding User Content), is owned by Espri Technologies Inc. or its licensors and is protected by intellectual property laws. You may not copy, distribute, or create derivative works without our prior written consent.

8. Disclaimers and Limitation of Liability

Espri is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Espri be liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenues, whether incurred directly or indirectly.

9. Termination

You may stop using the Services at any time. We reserve the right to terminate or suspend access to the Services with or without notice for conduct that violates these Terms or poses a risk to other users or the platform.

10. Governing Law

These Terms are governed by the laws of [Insert Jurisdiction, e.g., the Province of Ontario, Canada], without regard to its conflict of laws principles.
